PMDN/PT

What is PT PMDN?

A PT PMDN (Penanaman Modal Dalam Negeri) is a domestic investment company in Indonesia, fully owned by Indonesian citizens or Indonesian legal entities. It is the most common business structure for local entrepreneurs who wish to establish a company in Indonesia, as it allows 100% local ownership.

  • 100% Local Ownership: A PT PMDN is entirely owned by Indonesian individuals or companies. There are no foreign ownership restrictions, making it an ideal choice for local investors.
  • Limited Liability: Like other forms of PT, a PT PMDN offers limited liability, meaning the shareholders’ personal assets are protected from business debts.
  • Flexible for Various Sectors: PT PMDNs can operate in almost all sectors, except those reserved for foreign investments or regulated industries.
  • Simpler Setup Process: Compared to a PT PMA (foreign-owned company), the requirements for a PT PMDN are generally simpler and quicker to fulfill.

Why Choose PT PMDN?

  • Local Business Structure: It’s the standard company structure for Indonesian entrepreneurs and local companies.
  • Access to Government Support: PT PMDNs are eligible for government incentives and support programs for local businesses.
  • Cost-Effective: With lower minimum capital requirements compared to PT PMA, PT PMDN is often more cost-effective for local business owners.
